XIII. REFLEXIONES FINALES
El carácter ácrata de INTERNET, en el momento de sus inicios, constituyó uno de
sus principales atractivos. En este contexto apareció la celebérrima
“Declaration of the Independence of Cyberspace” de John Perry Barlow[48]. En la
actualidad el Derecho no puede desentenderse, permanecer ajeno a este fenómeno.
Por tal motivo, la discusión sobre la existencia, el alcance, naturaleza, la
utilidad práctica de la teoría de la nueva lex mercatoria no tiene fin. No
obstante nos atrevimos a reflexionar sobre esta delicada como apasionante
cuestión. Sobre todo cuando de lo que se trata es nada más ni nada menos que
debatir sobre qué debe considerarse derecho.
Así como no han variado cuando resultan empleados en el comercio electrónico las
reglas, los principios generales que regulan los llamados conflictos de
jurisdicción, tales como la exigencia de un contacto razonable entre el caso o
las partes y el foro, el derecho efectivo de acceso a la justicia, el equilibrio
entre las partes, domicilio del demandado, lugar de cumplimiento del contrato,
de la prestación más característica o no, el foro del actor (forum actoris) o
foro del demandado, contactos mínimos, entre tantos otros; tampoco se hace
necesario, sorteando al derecho internacional privado que siempre conduce a los
ordenamientos jurídicos estatales, el acudir a la lex informatica en materia de
derecho aplicable a los contratos internacionales.
Ello por cuanto, los principios que le sirven de base tales como: "nullus
commodum capere potest de injuria sua propria"; "nemo plus iure transferre
potest quam ipse habet"; "non concedit venire contra factum proprium"; "l'interdiction
de se contredire au détriment d'autrui"; "lex specialis derogat legi generali";
“estoppel", "Anscheinsvollmacht"; "pacta sunt servanda"; "qui tacet consentire
videtur"; "res inter alios acta alteri non nocet"; "best efforts"; "time is of
the essence"; "fraus omnia corrumpit"; "culpa in contrahendo"; "exceptio non
adimpleti contractus"; "acts of God; "force majeure", "höhere Gewalt", "penalty
clause"; "clause pénale"; "Vertragsstrafeversprechen"; hardship "Wegfall der
Geschäftsgrundlage", "clausula rebus sic stantibus", "frustration of purpose";
nominal-value principle; "Nemo sine causa alterius jactura locupletari debet"; "condictio
indebiti"; "unjust enrichment"; "nemo turpitudinem suam allegans auditur"; "full
compensation standard"; "actori incumbit probatio"; "center of gravity test"; "engster
Zusammenhang"; "liens les plus étroits"; "favor negotii"; "lex validitatis"; "rule
of validation"; entre otros, pertenecen al acervo de los derechos nacionales, y
como habrá descubierto el lector, fueron incorporados a los ordenamientos
jurídicos estatales e internacionales antes que la imaginación del hombre
pensara en la red de redes.
Simétricamente, tampoco ignoramos que debido al fenómeno de la globalización se
han modificado sustancialmente los hábitos culturales, la forma en que
interactúan los operadores de los negocios internacionales. Mas el empleo de un
lenguaje específico, de usos, prácticas, costumbres de un determinado sector, de
una suerte de “argot electrónico”, por ese mero hecho no implica la aparición de
un nuevo derecho, una nueva lex mercatoria llamada lex informatica.
Estaremos satisfechas si este trabajo contribuye a reflexionar sobre la
romántica visión de quienes tomando como modelo a la lex mercatoria pretenden
aplicarla al ciberespacio, denominándola como lex informatica[49], “lex
cyberalty”[50], entre otras.
Por ello propiciamos decidamente la aprobación de convenciones internacionales,
con estandares mínimos, que operen como respuestas a los problemas inherentes a
la net. Muchos dudan que dadas las dimensiones que ella implica ello sea
posible, y toda vez que una ley uniforme involucraría a todos los países, lo
cual sumado a la enorme diferencia cultural y jurídica, es poco probable que se
consiga una “armonización de gran alcance”[51]. Sin embargo, mientras ello
acontezca, con un inocultable optimismo, por esta única vez proponemos que
palabras tales como quimera, utopía, imposible, sean borradas temporariamente
del diccionario. Quizás puedan servir de lección las enseñanzas de las ferias
medievales de St. Ives.
